BlackRock Files for Bitcoin ETF With Capped Gains and Conditional Protection

BlackRock has submitted a preliminary SEC prospectus for the iShares Bitcoin Managed Protection ETF, offering investors conditional downside protection and capped gains.

BlackRock Files for Bitcoin ETF With Capped Gains and Conditional Protection

On Monday, BlackRock submitted a preliminary prospectus to the SEC regarding the iShares Bitcoin Managed Protection ETF (PBIT). This prospective Bitcoin ETF is tailored for participants prepared to trade away part of their Bitcoin (BTC) upside in return for options-driven security, aiming to restrict initial tranche losses to roughly 10% prior to fees.

As this is merely a proposal, it does not constitute an official approval or product rollout. PBIT intends to gain exposure to BlackRock’s iShares Bitcoin Trust ETF (IBIT) or comparable Bitcoin instruments up to an approximate ceiling, while simultaneously pursuing conditional downside safeguards.

PBIT Investors Would Trade Upside for Conditional Protection

As reported by Decrypt, the fund plans to purchase call options tied to IBIT or similar exposure while selling calls at elevated strike prices to help offset the cost. Through this arrangement, potential gains are capped rather than mirroring the complete performance of Bitcoin.

Every options tranche is expected to initiate with protection safeguarding about 90% of the reference asset’s starting value. This anticipated 10% initial loss threshold pertains strictly to that specific tranche before accounting for fees and expenses, rather than covering every shareholder’s entire investment portfolio.

The Bitcoin ETF Push: BlackRock Expands Beyond IBIT’s Direct Bitcoin Exposure

James Seyffart, an analyst with Bloomberg Intelligence, pointed out that PBIT marks BlackRock’s third Bitcoin ETF submission. The firm initially launched the US spot Bitcoin market with IBIT in January 2024, followed by the iShares Bitcoin Premium Income ETF (BITA) in June 2026.

This filing arrives alongside a surge in demand for IBIT. Citing SoSoValue data, Decrypt noted that IBIT pulled in $665.2 million on Monday, whereas the collective 12 US spot Bitcoin ETFs experienced $526.6 million in net inflows—with IBIT standing out as the sole fund in that group to secure positive net inflows.

PBIT Would Enter an Existing Buffered Bitcoin Market

Firms like Calamos, First Trust, and Innovator already provide defined-outcome products linked to Bitcoin. According to Seyffart, BlackRock typically makes a “big splash” whenever it steps into such a market.

Management fees remain undisclosed in the preliminary prospectus. Subsequent amendments are expected to provide clearer terms for investors to evaluate against competing funds.

FAQ

How often would PBIT replace its options tranches?

The strategy would use three overlapping tranches with staggered monthly start dates. Typically, one would expire and a replacement would begin each month.

Would PBIT hold Bitcoin or Bitcoin ETF shares directly?

PBIT would hold neither Bitcoin nor Bitcoin ETF shares directly. Its proposed exposure would come through options linked to IBIT or similar Bitcoin exposure.

What role would fixed-income investments play in PBIT?

The proposed portfolio would also hold fixed-income investments to earn interest. Those holdings would sit alongside its Bitcoin-linked options strategy.

Which law would govern PBIT’s registration?

PBIT would be registered under the Investment Company Act of 1940. It would form part of the iShares Trust, placing it under the law governing most mutual funds and ETFs.

How does BlackRock’s existing BITA fund differ from the proposed PBIT?

BITA uses options trading to pursue income. PBIT would instead prioritize limited upside exposure alongside conditional downside protection.
